Terms of Service & Product Agreement

 

1. Introduction & Acceptance of Terms

This Terms of Service Agreement ("Agreement") governs your access to and use of all products, services, communities, and digital content offered by NextStarz ("Company," "we," "us," or "our"). By purchasing, accessing, or using any NextStarz product or service, you ("you," "member," "parent," or "legal guardian") agree to be bound by this Agreement on behalf of yourself and any minor child(ren) in your household, and you represent and warrant that you have the legal authority and capacity to enter into this Agreement.

If you do not agree to these terms, do not access or use any NextStarz product or service.

 

2. Eligibility & Parental Responsibility

NextStarz products and services are intended for parents and legal guardians of youth baseball and softball players. Children under 18 may access applicable products only under the supervision of a parent or legal guardian. By signing up on behalf of a minor, you represent and warrant that:

• You are the parent or legal guardian of that minor;
• You consent to the minor’s participation in any applicable activities, drills, or community features; and
• You understand that the minor’s participation is subject to all terms of this Agreement.

You further represent that you are the parent or legal guardian of any minor featured in content you upload or permit to be shared, and that you consent to such content being viewable by other members or by NextStarz in connection with its offerings.

 

3. Products & Services

NextStarz offers several categories of digital products and services. The specific terms for each category are set forth below in the Product-Specific Addenda (Sections 10–12). All categories are also subject to the General Terms in Sections 1–9 of this Agreement.

 

3.1 Digital Course Products

Standalone digital educational programs, courses, or downloadable content products (e.g., video programs, guides, worksheets) sold for a one-time fee. Access is granted to the purchasing household only.

 

3.2 Subscription & Membership Products

Recurring subscription products providing ongoing access to training content, resources, or coaching materials. Subscriptions are billed on the stated billing cycle (monthly, annual, or as specified at checkout) and continue until cancelled.

 

3.3 Community Access

Online community platforms or group access provided as part of a subscription, standalone purchase, or as a bonus to another product. Community access is subject to the Community Guidelines in Section 9 of this Agreement.

 

4. User Content & Media

Certain NextStarz products and services permit you to upload photos, videos, text, or other content ("User Content"). By uploading User Content, you:

• Represent that you own or have all necessary rights to share the content;
• Confirm that any images or videos of minors have been voluntarily shared by you as a parent or legal guardian;
• Grant NextStarz a non-exclusive, worldwide, royalty-free license to host, display, and share your content within the applicable product or service, or in connection with related NextStarz offerings; and
• Agree not to upload content that is unlawful, harmful, infringing, abusive, or inappropriate for a family-oriented community.

You agree not to redistribute another member’s content, or any minor’s photos, videos, or personal information, outside of the applicable product or service.

 

5. Privacy, Data & Cookies

 

5.1 Privacy Policy

Your use of any NextStarz product or service is also governed by our Privacy Policy, which is incorporated herein by reference and available at [nextstarz.com/privacy]. The Privacy Policy describes how we collect, use, store, and share information.

 

5.2 Cookies & Tracking Technologies

NextStarz uses cookies and similar tracking technologies (including pixels and analytics tools) to operate and improve our products, services, and marketing. Our use of these technologies is described in detail in our Cookie Policy, which forms part of our Privacy Policy [nextstarz.com/privacy#cookies].

By using our websites or digital products, you consent to our use of cookies as described in our Cookie Policy. You may manage your cookie preferences through our consent management tool or your browser settings; however, disabling certain cookies may affect the functionality of our products and services.

 

5.3 Children’s Privacy (COPPA)

We do not knowingly collect personal information directly from children under 13 without verifiable parental consent. All accounts and content submissions must be created and managed by a parent or legal guardian. If you believe we have inadvertently collected information from a child under 13 without proper consent, please contact us immediately at [info@nextstarz.com].

 

5.4 California Privacy Rights

If you are a California resident, you may have additional rights under the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA), including the right to know, delete, correct, and opt out of the sale or sharing of your personal information. Please see our Privacy Policy for details on how to exercise these rights.

 

5.5 Mandatory Reporting

If we become aware of content or behavior that reasonably suggests abuse, exploitation, or endangerment of a child, we may report such information to the appropriate law enforcement or child protection agencies.

 

6. Intellectual Property

All content, materials, and resources provided by NextStarz across any product or service—including but not limited to videos, audio recordings, visualizations, written lessons, exercises, worksheets, illustrations, characters, frameworks, routines, and program structures—are the exclusive intellectual property of NextStarz and are protected by U.S. and international copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use NextStarz materials solely for personal, non-commercial use within your household. You may not:

• Copy, reproduce, record, or redistribute any NextStarz content;
• Share screenshots, recordings, or downloads outside your household;
• Use the content to create derivative works, competing programs, or coaching products; or
• Sell, license, or publicly display NextStarz materials in any form.

Unauthorized use, reproduction, or distribution of NextStarz intellectual property constitutes a material breach of this Agreement and may result in termination of access and legal action.

 

7. Assumption of Risk

NextStarz products may include drills, physical exercises, challenges, and mindset techniques designed to support athletic development and confidence. Baseball, softball, and other sport/athletic activities inherently involve risks, including the risk of physical injury. By participating in any drills, exercises, or physical activities described or demonstrated in any NextStarz product, you acknowledge these inherent risks and agree that participation is voluntary and entirely at your own risk.

You release NextStarz, its owners, operators, managers, coaches, staff, contractors, and affiliates from any and all liability for injuries, accidents, or damages that may occur in connection with participation in any activities described or referenced in any NextStarz product or service.

 

8. Disclaimers

 

8.1 No Licensed Professional Relationship

NextStarz is an educational content company. Neither NextStarz nor any of its owners, operators, managers, coaches, contributors, staff, contractors, or affiliates (collectively, "NextStarz Personnel") are licensed therapists, psychologists, psychiatrists, counselors, social workers, clinical mental health professionals, licensed athletic trainers, physical therapists, physicians, or any other type of licensed healthcare or mental health provider.

Nothing in any NextStarz product, service, program, community, or communication of any kind constitutes or should be interpreted as:

• Therapy, counseling, psychotherapy, or any form of mental health treatment;
• Medical advice, diagnosis, or treatment;
• Athletic training, physical therapy, or sports medicine guidance; or
• Any other form of licensed professional advice or care.

The confidence-building, mindset, and mental performance content offered through NextStarz products is educational in nature only. It is designed to support positive thinking habits, self-belief, and athletic development — it is not a clinical intervention and is not a substitute for professional mental health care.

 

8.2 Seek Licensed Professionals

If you or your child is experiencing anxiety, depression, trauma, behavioral concerns, persistent emotional distress, or any other mental health condition, you should seek the care of a qualified, licensed mental health professional. If you have concerns about your child’s physical health, injury, or athletic development that require medical evaluation, consult a licensed physician, pediatrician, orthopedist, or licensed athletic trainer.

NextStarz strongly encourages all families to work with licensed professionals alongside any educational programs. Participation in NextStarz products is not a replacement for, and should not be treated as a substitute for, any form of professional medical, psychological, therapeutic, or athletic training care.

 

8.3 No Therapeutic or Clinical Relationship

Your use of any NextStarz product or service, and any communication with NextStarz Personnel, does not create a therapeutic relationship, clinical relationship, patient-provider relationship, coach-client relationship carrying professional duties, or any fiduciary relationship of any kind. No NextStarz Personnel assumes any professional duty of care toward you or your child beyond what is expressly stated in this Agreement.

 

8.4 No Guarantee of Results

Results from any NextStarz product or service are individual and will vary based on each participant and a wide range of factors. No specific outcome is guaranteed. Testimonials or results shared by other members are not a guarantee that you or your child will achieve the same results.

 

8.5 User Content Accuracy

NextStarz is not responsible for the accuracy, completeness, or reliability of User Content posted by members. You release us from liability for any disputes, claims, or damages arising from content shared by other members.

 

9. Community Guidelines

The following guidelines apply to any NextStarz community product or feature. NextStarz communities are spaces for players and families who want to grow in baseball—on the field, at the plate, and in life.

 

9.1 Respect & Positivity

• Treat all members—players, parents, and coaches—with respect.
• Encourage others. No negative comments, bullying, or disparaging remarks about players.

 

9.2 Relevant Content

• Keep posts focused on baseball, softball, sports, confidence, mentality, family, and personal growth.
• Off-topic or inappropriate posts will be removed without notice.

 

9.3 Safety

• Do not share personal information (addresses, phone numbers, school names).
• All content must be family-friendly and safe for children at all times.
• Parents are responsible for guiding their children in safe community participation.

 

9.4 Zero Tolerance

• No bullying, name-calling, harassment, discrimination, or exploitation of any kind.
• No inappropriate, violent, or sexual content.
• No spamming, selling, or promoting outside programs or services without prior written permission from NextStarz.

 

9.5 Enforcement

NextStarz reserves the right to remove content or suspend or terminate a member’s access for violations of these guidelines, at our sole discretion and without refund. In cases of suspected exploitation or other inappropriate behavior involving minors, we may report to child protection authorities.

 

 

PRODUCT-SPECIFIC ADDENDA

The following addenda govern specific categories of NextStarz products and services. These terms are in addition to, and not in replacement of, the General Terms in Sections 1–9. In the event of a conflict between an addendum and the General Terms, the addendum controls for that product category.

 

Addendum A: Digital Course Products

 

A.1 Access & Household Use

Access to any NextStarz Digital Course Product is granted to one (1) household per purchase. A “household” is defined as the purchasing parent or legal guardian and their minor child(ren) residing in the same home. Account sharing, credential sharing, sublicensing, resale, or transfer of access outside the purchasing household is strictly prohibited and may result in immediate termination of access without refund.

 

A.2 Refund & Guarantee Policy

NextStarz stands behind its Digital Course Products. If you are not satisfied with your purchase, you may request a full refund within thirty (30) days of the original purchase date, subject to the following conditions:

• Refund requests must be submitted to [info@nextstarz.com] within 30 days of purchase.
• Refund requests submitted after 30 days from the original purchase date will not be honored.
• This guarantee applies to the original purchase price of the Digital Course Product only. Order bumps, upsells, and add-on products purchased alongside a Digital Course Product are subject to their own refund terms as stated at the time of purchase. Unless otherwise stated, add-on products are non-refundable.
• Refunds will be issued to the original payment method within 5–10 business days of approval.

This 30-day satisfaction guarantee is a one-time courtesy per household. Households that have previously received a refund on the same or a substantially similar product are not eligible for an additional refund.

 

A.3 No Licensed Professional Relationship

Access to a Digital Course Product does not create a therapeutic, clinical, medical, coach-client, or fiduciary relationship between you (or your child) and NextStarz or any of its owners, coaches, contributors, staff, or contractors. Please refer to Section 8 of this Agreement for the full disclaimer regarding the absence of any licensed professional relationship and the importance of seeking qualified licensed professionals for medical, mental health, and athletic training needs.

 

Addendum B: Subscription & Membership Products

 

B.1 Billing & Auto-Renewal

Subscription products are billed on a recurring basis (monthly, annual, or as specified at the time of purchase) and will automatically renew at the end of each billing cycle unless cancelled. By purchasing a subscription, you authorize NextStarz to charge your payment method on a recurring basis at the stated subscription price.

NextStarz will provide notice of any material changes to subscription pricing at least thirty (30) days before the change takes effect, in accordance with applicable law including California’s Automatic Renewal Law (Business & Professions Code § 17600 et seq.).

 

B.2 Cancellation

You may cancel your subscription at any time through your account settings or by contacting [info@nextstarz.com]. Cancellation will take effect at the end of the current paid billing cycle, and you will retain access through that date. No partial refunds will be issued for unused time within a billing cycle.

 

B.3 Refund Policy for Subscriptions

Subscription payments are non-refundable except as required by applicable law. If you believe you have been charged in error, contact [info@nextstarz.com] within 14 days of the charge.

 

B.4 Free Trials

If a free trial is offered, your subscription will automatically convert to a paid subscription at the end of the trial period unless you cancel before the trial ends. You will be notified of the trial terms and renewal date at the time of enrollment.

 

Addendum C: Community Access Products

 

C.1 Access

Community access may be included as part of a subscription product, granted as a standalone purchase, or provided as a bonus to another product. Where community access is included with a subscription, access to the community will terminate upon cancellation of the underlying subscription.

 

C.2 Community Rules

All community members must comply with the Community Guidelines set forth in Section 9 of this Agreement at all times. Violation of the Community Guidelines may result in suspension or termination of community access, at NextStarz’s sole discretion, without refund.

 

C.3 Moderation

NextStarz reserves the right to remove any content, moderate discussions, and suspend or terminate any member’s access to the community at any time and for any reason, including without limitation for violation of the Community Guidelines or for behavior that NextStarz determines, in its sole discretion, to be harmful to the community or inconsistent with the NextStarz mission.

 

 

GENERAL LEGAL TERMS

 

10. Indemnification

You agree to indemnify and hold harmless NextStarz, its owners, operators, managers, coaches, staff, contractors, and affiliates from any claims, damages, liabilities, or expenses (including reasonable legal fees) arising from: (a) your use of any NextStarz product or service; (b) your uploaded content; (c) your violation of this Agreement; or (d) your or your child’s participation in any drills, challenges, or activities in connection with any NextStarz product or service.

 

11. Termination of Access

NextStarz may suspend or terminate your access to any product or service if you breach this Agreement, violate the Community Guidelines, engage in harmful behavior, or for any other reason at our sole discretion. Termination for cause will be without refund. You may cancel a subscription at any time per the terms of Addendum B.

 

12. Dispute Resolution

Any dispute arising under or relating to this Agreement shall first be subject to informal resolution. You agree to contact NextStarz at [info@nextstarz.com] and provide a written description of the dispute. If the dispute is not resolved within thirty (30) days, it shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in California.

By agreeing to arbitration, you and NextStarz waive the right to a jury trial and to participate in a class action lawsuit or class-wide arbitration. Pre-arbitration discovery is generally more limited than court proceedings. The arbitrator’s award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Nothing in this section prevents either party from seeking emergency injunctive or equitable relief from a court of competent jurisdiction to protect intellectual property rights or confidential information.

 

13. Governing Law

This Agreement is governed by the laws of the State of California and applicable U.S. federal laws, without regard to conflict of law principles.

 

14. Entire Agreement & Severability

This Agreement, together with the Product-Specific Addenda and any other policies incorporated by reference (including the Privacy Policy and Cookie Policy), constitutes the entire agreement between you and NextStarz with respect to your use of NextStarz products and services, and supersedes all prior agreements or understandings. If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect. This Agreement may not be amended except by written agreement of both parties.
